TL;DR
Senior Counsel - Corporate, Securities & Finance (Corporate Law): Providing legal counsel on securities law, SEC reporting, capital markets, financing, corporate governance, and strategic transactions with an accent on public company disclosures, debt offerings, and executive-level business advice. Focus on preparing SEC filings, negotiating financing documents, managing legal risk, and supporting mergers, acquisitions, and restructurings.

Location: Findlay, Ohio, with additional locations in Denver, Colorado; Houston, Texas; and San Antonio, Texas. Licensed practice in good standing in a U.S. state is required.

Salary: $162,700–$282,900 per year, plus eligibility for a discretionary annual bonus.

What you will do

  • Advise on federal securities laws, SEC regulations, stock exchange requirements, and public company disclosure obligations.
  • Lead or support preparation and review of Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other disclosures.
  • Provide legal support for debt offerings, financing transactions, and other capital markets activities.
  • Draft, review, and negotiate transaction documents and related agreements with internal and external counsel.
  • Advise Finance, Treasury, Investor Relations, Accounting, the Corporate Secretary’s Office, and executive leadership.
  • Support mergers, acquisitions, restructurings, corporate governance, and other strategic initiatives while managing legal risk.

Requirements

  • Juris Doctorate degree from an accredited law school.
  • Admission to practice law and good standing in a U.S. state.
  • At least four years of relevant experience as a practicing attorney.
  • Strong analytical, organizational, communication, problem-solving, and risk-management skills.
  • Ability to independently manage complex legal matters, coordinate cross-functional workflows, and escalate significant risks appropriately.
  • Proficiency in Microsoft Office Suite, including Word, Excel, PowerPoint, and Outlook.
