Legal Counsel - Corporate (SaaS)

Location: Lincoln, Nebraska, United States

Base salary: $125,000–$165,000 per year, depending on experience, plus performance-based bonus opportunities, stock awards, and benefits.

What you will do

• Draft, review, negotiate, and manage commercial agreements, including SaaS customer agreements, MSAs, SOWs, partnership agreements, NDAs, and vendor contracts.
• Provide practical, risk-balanced legal advice to sales, procurement, operations, and product teams.
• Identify, escalate, and resolve legal and business risks across routine and complex matters.
• Support corporate governance, entity maintenance, board materials, compliance, and corporate filings.
• Assist with M&A, structured finance, joint venture, and restructuring transactions under senior attorney supervision.
• Develop contract templates, playbooks, legal guidelines, and contract lifecycle management improvements while coordinating with internal teams and outside counsel.

Requirements

• J.D. from an accredited U.S. law school and admission to practice law in good standing in at least one U.S. jurisdiction.
• 3–5 years of relevant experience in a law firm and/or in-house legal department.
• Experience drafting and negotiating commercial contracts, including SaaS or technology-related agreements.
• Experience with general corporate and transactional matters.
• Strong written and verbal communication, sound judgment, and the ability to manage multiple matters in a fast-paced environment.

Nice to have

• Prior in-house experience at a technology or financial services company.
• Experience with corporate governance, capital markets, structured finance, M&A, or routine transaction matters.
