Director, Legal Counsel - Commercial Cloud Transactions (AI)

Location: San Francisco, CA, United States; on-site

Salary: $240,000–$285,000 per year plus bonus and restricted stock units

What you will do

• Draft, review, and negotiate SaaS, software licensing, cloud services, AI-enabled offerings, professional services, data processing, and strategic partnership agreements.
• Lead commercial, customer, procurement, and strategic negotiations from intake through signature.
• Advise Cloud Sales, Product, Digital Infrastructure, Security, Finance, and Procurement on legal, operational, and strategic matters.
• Develop standard forms, playbooks, and scalable contracting processes aligned with business and product requirements.
• Support strategic pricing initiatives, pricing governance, and commercial model optimization.
• Use AI legal technology, contract management, and internal approval workflow tools to prioritize and manage contracts.

Requirements

• Juris Doctor degree from an accredited law school and active bar admission in good standing.
• At least eight years of relevant in-house or law-firm experience supporting technology transactions.
• Extensive experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnership, and enterprise commercial agreements.
• Strong knowledge of cloud services, software licensing, information security, privacy, intellectual property, regulatory matters, and AI-enabled products.
• Strong drafting, negotiation, organizational, communication, and stakeholder management skills.
• Proficiency with AI and legal technology tools, Microsoft O365, Google Workspace, and contract management software such as Ironclad.

Nice to have

• Knowledge of data privacy laws and practices in SaaS environments involving customer data.
• Understanding of software development, SaaS infrastructure, open-source communities, and intellectual property law.
• Experience at a startup, AI company, digital infrastructure company, or high-growth venture business.
