Vice President, Corporate, Securities & Transactions (Biotechnology)

Location: Remote or hybrid, ideally based at the headquarters in South San Francisco, California; west coast remote may be considered for candidates outside the area. Must be authorized to work in the United States.

Salary: $340,000–$380,000 per year, plus annual performance bonus and equity.

What you will do

• Partner with the General Counsel on SEC filings, public-company disclosures, proxy statements, annual meetings, and Section 16 reporting.
• Advise on corporate governance, Board and committee matters, Nasdaq compliance, Delaware corporate law, insider trading policies, and Regulation FD.
• Prepare meeting materials, resolutions, minutes, consents, governance policies, and related documentation.
• Draft, review, and negotiate agreements for strategic partnerships, licensing, collaborations, M&A, confidentiality, services, and other corporate or commercial matters.
• Support transaction due diligence, documentation, internal approvals, post-signing implementation, and outside counsel management.
• Provide practical legal advice to senior executives and cross-functional teams in a fast-paced public biotechnology company.

Requirements

• J.D. from an accredited law school and membership in good standing in at least one U.S. state bar.
• California bar admission or eligibility to register as California in-house counsel.
• At least 12 years of relevant corporate and securities experience, including experience with public companies, SEC reporting, governance, proxy statements, annual meetings, and Section 16 reporting.
• Experience supporting Boards and committees and advising on Nasdaq requirements, Delaware corporate law, insider trading policies, and Regulation FD.
• Strong drafting, analytical, project management, communication, judgment, and collaboration skills.
• U.S. work authorization required.

• Experience at a nationally recognized law firm or in-house at a public company.
• Experience with strategic partnerships, licensing, collaborations, M&A, or other business development transactions.
• Life sciences, biotechnology, or pharmaceutical industry experience.
• Experience at a more senior leadership level with broader responsibility.
