Corporate Counsel (Healthcare)

Location: United States — Remote; remote work or work from the headquarters in Des Moines, Iowa.

What you will do

• Own subsidiary governance and corporate maintenance, including organizational documents, board and stockholder consents, officer appointments, state registrations, annual reports, and good-standing requirements.
• Build repeatable corporate maintenance systems, including governance calendars, entity records, consent templates, and signing-authority documentation.
• Draft and maintain intercompany agreements, restructuring documents, and capitalization-table records covering equity issuances, option grants, and transfers.
• Support financings and M&A through corporate diligence, data rooms, closing checklists, officer certificates, transaction documents, and post-closing entity integration.
• Advise Finance, Accounting, Compliance, Contracts, Product, and Operations on entity structure, signing authority, licensing, and regulatory filings.
• Manage outside counsel and identify corporate, securities, and healthcare regulatory risks with recommended paths forward.

Requirements

• Juris Doctor degree from an ABA-accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 4–6 years of corporate law experience in a law firm, in-house legal team, or a combination.
• Hands-on experience with multi-entity governance, corporate maintenance, cap tables, equity issuances, board governance, and state registrations.
• Experience supporting financings and M&A, including diligence, data rooms, closing mechanics, and post-closing cleanup.
• Strong project management, communication, follow-through, and ability to operate independently in a scaling organization.

Nice to have

• Corporate or emerging companies/venture capital training at a strong firm.
• Healthcare or other regulated-industry experience.
• Familiarity with corporate practice of medicine and PC/MSO structures.
