Counsel, Procurement (Automotive): Reviewing, drafting, and negotiating commercial contracts for direct and indirect procurement with an accent on vendor agreements, software licenses, and SOWs. Focus on implementing legal playbooks, streamlining workflows through legal technology, and ensuring compliance across multinational supplier dynamics.

Location: Hybrid: Must be based in the US and work from one of hirify.global's offices (Bozeman, Coppell, Livonia, Louisville, Mountain View, Pittsburgh, San Francisco, or Seattle) at least 3 days per week.

Salary: $135,000–$216,000 per year

What you will do

• Review, draft, and negotiate NDAs, standard vendor agreements, service agreements, SOWs, renewals, and software licenses.
• Collaborate with Senior Counsel to develop templates, playbooks, and fallback positions for various commercial contracts.
• Implement new legal technology, such as CLM tools and AI-driven contract review software, to improve workflows.
• Update and maintain internal non-compete/non-solicitation trackers and the template inventory.
• Assist with M&A activities, including organizing virtual data rooms and reviewing target contracts.

Requirements

• Juris Doctor degree from an accredited law school.
• License to practice in PA (Pennsylvania).
• 3-6 years of law firm or in-house experience negotiating commercial contracts.
• Deep understanding of limitations of liability, complex indemnification, IP ownership, and warranties.
• Must be authorized to work in the United States.

Nice to have

• Experience negotiating DPAs and aligning terms with GDPR, CCPA, and data security protocols.
• Experience navigating multinational supplier dynamics.
• Proven ability to create standardized contract templates and negotiation playbooks.
