TL;DR

Senior Counsel (Governance): Leading corporate governance and entity formation for global expansion with an accent on hands-on execution, licensing, and regulatory compliance. Location: Must be based within +3 / -3 UTC. While posted in Spain, Poland, and Portugal, the role is fully remote.

Compensation: €105K–€125K (Spain) or PLN 400K–PLN 500K (Poland), plus equity.

What you will do

• Lead governance and structuring decisions for new direct entity launches.
• Personally execute filings, licensing applications, and bank account setups.
• Conduct jurisdiction-specific legal and regulatory research.
• Draft and maintain foundational corporate documentation and governance records.
• Partner with cross-functional teams to sequence and de-risk entity launches.
• Document repeatable processes and playbooks for future knowledge handoff.

Requirements

• Qualified lawyer with 7+ years of experience in corporate governance and multi-jurisdictional entity management.
• Demonstrated experience personally establishing and maintaining corporate entities.
• Fluency in written and spoken English.
• Ability to operate with significant autonomy on a 12-month fixed-term engagement.
• Strong judgment in translating legal requirements into practical execution plans.
• Experience thriving in fast-paced, high-growth, or startup environments.

Nice to have

• Prior experience with an EOR/PEO or global HR platform.
• Project management experience setting up entities in multiple jurisdictions.
• Familiarity with corporate governance tools like Klea, Notion, or Asana.
• Experience managing jurisdiction-specific signing formalities and D&O insurance.
