What you will do

• Provide legal and business guidance on financing and strategic transactions, including M&A and joint ventures.
• Manage corporate secretarial functions, including board of directors and committee meeting materials.
• Oversee the creation, management, and compliance of domestic and foreign legal entities.
• Develop and oversee equity plans, executive compensation programs, and associated securities regulations.
• Maintain policies for SEC compliance, including Insider Trading Policy and Section 16 filings.
• Partner with Internal Audit, Finance, and Compliance on risk management and insurance programs.

Requirements

• Juris Doctor (JD) degree and must be admitted to a US state bar in good standing.
• Minimum of 7 years of legal experience, with 3+ years of in-house healthcare industry experience.
• Expertise in corporate governance, M&A, and private/public company financing.
• Must be based in the United States.
• Strong understanding of SOX, Dodd-Frank Act, and Nasdaq listing standards.

Nice to have

• Knowledge of Anti-Kickback Statute, False Claims Act, and FDA regulations.
• Familiarity with HIPAA, GDPR, and the Foreign Corrupt Practices Act (FCPA).
