Associate General Counsel, Corporate & Transactions (Biotech)

Location: Hybrid role based in Bridgewater, New Jersey, United States. Applicants must be authorized to work in the United States and complete Form I-9 and E-Verify employment verification.

Base pay: $256,073–$336,097 USD annually, plus potential performance-based bonus and/or equity.

What you will do

• Lead drafting, review and negotiation of complex strategic, business development and licensing transactions.
• Advise on contractual obligations, disputes and other matters related to the Janssen collaboration, including the BCMA program and related license agreements.
• Lead the U.S. and EU contracting function and supervise, mentor and develop three direct reports.
• Oversee contracting policies, templates, playbooks and contract lifecycle management systems.
• Support the General Counsel on corporate governance, securities, Board and committee matters, subsidiaries and intercompany arrangements.
• Maintain records for U.S. and EU subsidiaries and collaborate with tax, accounting and other stakeholders.

Requirements

• 10+ years of relevant legal experience, including substantial experience with complex strategic transactions and life sciences licensing.
• Strong understanding of life sciences collaborations, licensing arrangements and ongoing contractual obligations.
• Experience advising senior leadership, the Board and cross-functional R&D, Business Development, Clinical, Medical, Commercial, Operations and Finance stakeholders.
• Experience in the life sciences industry, preferably with a global publicly traded company, and experience leading a contracting or legal operations function.
• J.D. from an accredited U.S. law school or equivalent, with high academic achievement.
• Admission to practice law in at least one U.S. state, including New Jersey admission or eligibility for in-house qualification in New Jersey, and U.S. work authorization.

Nice to have

• Knowledge of the legal and regulatory environment for global life sciences companies, including the FDCA, False Claims Act, Anti-Kickback Statute and FCPA.
• Experience with Microsoft Office Suite and digital contract lifecycle management tools.
