What you will do

• Lead as primary internal counsel on private company fundraising and financing transactions, including term sheet development and definitive agreements.
• Execute domestic and cross-border M&A and strategic transactions, including acquisitions of licensed fintech entities.
• Structure secondary sales and private-company liquidity programs for shareholders, employees, and early investors.
• Advise on corporate governance, intragroup structuring, and internal reorganizations to support global licensing and tax objectives.
• Collaborate with Regulatory, Compliance, and Risk teams to ensure transactions align with regulatory expectations and risk appetite.
• Manage and direct external counsel across multiple jurisdictions to ensure high quality and commerciality.

Requirements

• U.S. legal qualification and active license to practice in at least one U.S. jurisdiction.
• 10+ years of experience in-house or in private practice advising on private company financing and M&A.
• Deep expertise in drafting core transaction documentation for equity financings, M&A, and joint ventures.
• Strong working knowledge of U.S. corporate and securities law as applied to private companies.
• Proven ability to provide commercially grounded advice to senior executives and investors.
• Must be based in San Francisco or New York.

• Experience in high-growth fintech, payments, or financial services with exposure to cross-border structures.
• Background in late-stage growth or pre-IPO companies.
• Experience designing private-company secondary programs or structured liquidity solutions.
