Salary: $211,000 - $300,000

What you will do

• Manage board and committee meetings, prepare materials, and advise on governance practices.
• Oversee corporate structure and subsidiary governance to ensure regulatory compliance across all jurisdictions.
• Lead legal due diligence and negotiate transaction documents for M&A and other strategic transactions.
• Drive public company readiness, including SEC reporting requirements and the implementation of a SOX compliance framework.
• Lead the internal employment legal function and manage litigation efforts as they arise.
• Build and lead the corporate legal team, managing outside counsel and optimizing legal operations.

Requirements

• JD degree with at least one active bar membership.
• 10+ years of relevant experience, including experience at a nationally-recognized law firm.
• Expertise in securities laws, corporate governance, M&A transactions, and SEC/SOX requirements.
• Proven track record of driving public company readiness or managing public company compliance.
• Must have valid right to work authorization in the United States.

• Experience in the technology or SaaS industry.
• Fluency in emerging technologies like AI to amplify legal impact.
