M&A Counsel

Location: Remote within the United States

Base pay: $153,300–$252,900 annually in Colorado; $153,300–$279,600 annually in Washington; $153,300–$306,300 annually in California; $185,500–$306,300 annually in New York City.

What you will do

• Lead domestic and international acquisitions, divestitures, and strategic transactions from creation through closing and post-transaction integration.
• Provide practical legal advice on deal structuring, legal risks, mitigation strategies, and transaction lifecycle matters.
• Draft and negotiate stock purchase, asset purchase, and ancillary agreements.
• Manage legal due diligence and summarize findings in risk assessments.
• Coordinate with privacy, intellectual property, security, product, employment, finance, tax, and People and Culture stakeholders.
• Manage outside counsel, integration planning, deal governance, and scalable M&A playbooks.

Requirements

• J.D. and active bar membership in at least one U.S. jurisdiction.
• 5+ years of experience as an M&A attorney at a top law firm or in a relevant in-house role.
• Experience drafting, negotiating, structuring, and advising on M&A transactions.
• Experience supporting transactions from due diligence through closing and managing external counsel across multiple jurisdictions.
• Experience with modern legal technology tools, including AI.
• Must be located within the United States.
