What you will do

• Lead the review, negotiation, and drafting of a wide range of complex commercial legal agreements.
• Partner with the enterprise sales team to manage the full life-cycle of complex sales deals.
• Advise internal clients on contract interpretation and strategic negotiation.
• Ensure company compliance with local laws, regulations, and internal ethics policies to mitigate risk.
• Triage and prioritize a heavy workflow of legal matters to deliver results efficiently.

Requirements

• J.D. degree with strong academic credentials and a demonstrated record of success as a lawyer.
• Must be based in Ontario, British Columbia, or Alberta, Canada.
• Membership in a local State Bar or eligibility to register as Registered In-House Counsel.
• 6+ years of commercial transactions experience, with at least 4 years negotiating complex technology/SaaS transactions.
• Proven experience supporting large sales organizations and drafting MSAs, Professional Services Agreements, and NDAs.
• Ability to communicate complex legal concepts clearly to non-lawyer stakeholders.
