Senior Legal Counsel (SaaS)

Location: Toronto, Canada; hybrid work with flexibility between remote and in-office at the Toronto headquarters

Salary: CAD 190,000–208,000 per year, plus participation in a discretionary bonus plan.

What you will do

• Own technology transactions end-to-end, including SaaS, software licensing, software development, technology partnerships, and services engagements.
• Drive compliance initiatives covering privacy, open source, marketing, export compliance, and related areas.
• Lead M&A legal work, including due diligence and post-acquisition integration.
• Advise on intellectual property, open source, data protection, and related technology matters.
• Manage legal entities across global jurisdictions and relationships with outside counsel.

Requirements

• Active membership in good standing with the Law Society of Ontario.
• 7+ years of relevant experience in a top-tier law firm or corporate legal department within SaaS or software.
• Extensive experience drafting and negotiating software licenses, SaaS agreements, technology development contracts, and partner agreements.
• Strong negotiation, communication, and interpersonal skills for fast-paced sales and partner transactions.
• Knowledge of data privacy requirements and experience with data protection agreements.
