Assistant General Counsel - Corporate Law (Hybrid)

Location: Saint Paul, Minnesota, United States. Hybrid working arrangement with a minimum of 3 days per week in the office; candidates must be within a 90-minute commutable distance.

Estimated base pay range: $185,000–$305,000 per year.

What you will do

• Lead mergers, acquisitions, divestitures, strategic investments, joint ventures, and related special projects through strategy, structuring, due diligence, documentation, regulatory filings, closing, and integration or separation.
• Advise executive leaders, Corporate Development, Finance, Tax, Compliance, business units, affiliate counsel, and outside counsel on transaction risks, approvals, alternatives, and execution plans.
• Lead, coach, and develop a team of corporate lawyers and legal professionals while setting priorities and maintaining consistent, high-quality legal support.
• Draft, review, and negotiate complex commercial agreements, including procurement, technology, confidentiality, and strategic partnership agreements.
• Support corporate governance for the enterprise and its affiliates, including resolutions, subsidiary governance, board materials, committee materials, and regulatory filings.
• Select and manage outside counsel, budgets, staffing, scope, matter strategy, and deliverables.

Requirements

• J.D. from an accredited law school.
• Licensed or eligible to become licensed and in good standing in Minnesota or another applicable U.S. jurisdiction.
• At least 7 years of relevant corporate legal experience, including significant experience leading or managing complex corporate transactions.
• Ability to lead, mentor, and develop attorneys and legal professionals.
• Strong drafting, negotiation, analytical, problem-solving, legal risk assessment, and written communication skills.
• Ability to advise senior leaders, exercise independent judgment, and manage multiple high-impact projects with competing deadlines.

Nice to have

• Experience in financial services, insurance, investment, or another regulated industry.
• Experience with subsidiary management, board and committee materials, and regulatory filings.
• Experience leading cross-functional transaction teams and managing outside counsel budgets and matter strategy.
