Corporate Paralegal

Location: Must be based in Arlington, VA (Onsite). Candidates must be legally authorized to work in the United States without employer sponsorship.

What you will do

• Manage the intake, tracking, and initial review of routine commercial contracts including NDAs, supply, and SaaS agreements.
• Maintain corporate records, minute books, and entity documentation for domestic and global subsidiaries.
• Assist with SEC reporting processes, including Section 16 filings, Form 10-K, Form 10-Q, and Proxy Statements.
• Support regulatory compliance filings such as KYC and UBO reporting across multiple jurisdictions.
• Conduct legal research on corporate governance, exchange regulations, and commercial compliance matters.
• Coordinate contract execution processes and maintain the contract repository database.

Requirements

• Bachelor’s degree and/or ABA-approved paralegal certificate required.
• 3–6+ years of corporate paralegal experience in a corporate legal department or law firm.
• Must be legally authorized to work in the United States without sponsorship.
• Practical experience with SEC filing software, Section 16 portals, and entity management databases.
• Proficiency with contract management systems (CMS) and Microsoft Office Suite.
• Strong organizational skills with the ability to handle confidential information and manage competing priorities.
