Corporate Governance Attorney (Fintech): Managing and enhancing the global corporate governance program for domestic and international subsidiaries with an accent on entity lifecycle management and regulatory compliance. Focus on drafting board resolutions, overseeing multinational corporate structures, and coordinating legal requirements for subsidiary governance.

Location: Hybrid (Greenwich, Connecticut, US). Employees work in the office Monday-Thursday, with flexibility to work remotely on Friday.

Salary: $190,000 – $220,000

What you will do

  • Draft and maintain corporate governance documentation, including board resolutions, meeting minutes, and governing documents.
  • Advise on legal and regulatory requirements for U.S. and non-U.S. entities.
  • Lead the preparation and execution of board and committee meetings, including agendas and materials.
  • Support entity formations, dissolutions, restructurings, and mergers.
  • Coordinate with registered agents and external providers for corporate records and certificates.
  • Provide legal support for subsidiary governance, including KYC requests and audits.

Requirements

  • Juris Doctor (JD) degree.
  • 3-7 years of experience in corporate governance, corporate law, or entity management.
  • Experience supporting multinational corporate structures and subsidiary governance.
  • Admission to practice law in at least one U.S. jurisdiction (preferred).
  • Proficiency in Microsoft Office (Word, Excel).
