TL;DR

Corporate & Securities Paralegal: Supporting corporate governance, securities compliance, and public company reporting obligations with an accent on SEC filings and board support. Focus on managing insider trading compliance, maintaining corporate records, and assisting with complex corporate transactions.

Location: Must be based in or able to commute to New York City (Hybrid: 3 days/week in office)

Salary: $80,000 - $100,000

What you will do

• Prepare, review, and file SEC reports including Forms 10-K, 10-Q, 8-K, and Section 16 filings.
• Administer insider trading compliance programs, including pre-clearance and blackout period tracking.
• Maintain corporate records, minute books, and governance documentation.
• Support Board of Directors and Committee meetings by preparing agendas, resolutions, and minutes.
• Coordinate with external advisors, including outside counsel, auditors, and transfer agents.
• Assist with due diligence and document management for corporate transactions and strategic initiatives.

Requirements

• Bachelor's degree and Paralegal Certificate required.
• 3–5 years of experience in corporate securities, public company compliance, or corporate governance.
• Must be authorized to work in the United States without sponsorship.
• Strong understanding of public company reporting requirements and securities law compliance.
• Experience independently drafting and submitting SEC filings.
• Ability to work in a fast-paced environment with strong attention to detail.
