Salary: $157,000 – $210,000

What you will do

• Lead the preparation, review, and filing of SEC reports and disclosures, including Forms 10-K, 10-Q, and 8-K.
• Coordinate proxy statements and logistical matters for annual and special stockholder meetings.
• Advise on insider trading policies, pre-clearance procedures, and Rule 10b5-1 plans.
• Review Section 16 filings (Forms 3, 4, and 5).
• Provide legal support to Investor Relations, Communications, and Marketing on external communications to ensure Regulation FD and securities law compliance.
• Monitor securities law developments and deliver legal and compliance training to employees.

Requirements

• Juris Doctor (J.D.) degree from an accredited law school.
• Active bar membership in good standing in at least one US state.
• 5-8+ years of experience practicing securities law at a recognized law firm or within a US public company.
• Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC rules, and Nasdaq listing rules.
• Must be a U.S. person as defined by U.S. Government export regulations.
• Excellent written and verbal communication skills with the ability to translate complex legal concepts for business teams.
