Location: Must be based in the United States

Salary: $145,000 – $170,000 per year

What you will do

• Manage entity formation, qualification, and ongoing maintenance for domestic and international subsidiaries.
• Support corporate governance activities, including resolutions, consents, and maintenance of global corporate records.
• Assist with M&A, strategic investments, and due diligence, including drafting and negotiating transaction documents.
• Review and negotiate a variety of sales agreements, including enterprise commercial licenses, SaaS, and data processing agreements.
• Collaborate with cross-functional teams to resolve corporate, compliance, and operational matters.
• Develop and maintain corporate policies and internal governance frameworks to support company growth.

Requirements

• JD from a recognized university and admission to a State Bar required.
• 3 to 5 years of relevant experience in a law firm or in-house legal department.
• Strong background in corporate, transactional, or securities law.
• Familiarity with Delaware corporate law and private company governance.
• Must be comfortable using legal tech and AI tools.
• Excellent analytical, communication, and organizational skills.

Nice to have

• Prior in-house legal experience.
• Experience with technology company M&A or venture-backed transactions.
• Exposure to IPO readiness, SEC reporting, or public company governance.
• Familiarity with international subsidiary management and cross-border structuring.
