Legal Counsel, Securities (Corporate Governance)

Location: Northfield, Illinois, United States

Salary: $154,000–$231,000 annually; bonus and/or incentive eligible.

What you will do

• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 filings.
• Advise on securities law, Regulation FD, insider trading controls, blackout periods, listing requirements, and public disclosures.
• Review earnings releases, investor presentations, press releases, and other communications for legal and regulatory compliance.
• Support capital markets transactions, M&A, equity investments, debt and equity financings, and related diligence.
• Support corporate governance activities, including the annual stockholders meeting and Board and committee meetings.
• Maintain corporate records, filings, governance documents, and subsidiary management processes.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in a state bar in good standing and ability to become licensed in Illinois if required.
• At least four years of experience practicing securities and corporate governance law at a major law firm or public corporation.
• Strong legal and business judgment, communication, presentation, interpersonal, and organizational skills.
• Ability to provide practical advice on complex legal, regulatory, disclosure, and governance matters.
