Location: Durham, North Carolina, United States. Fully remote or hybrid for candidates who live within commuting distance of an hirify.global office.

Salary: $77,900–$194,900 annual base pay, commensurate with qualifications and experience.

What you will do

• Prepare SEC filings, including 10-Ks, 10-Qs, Proxy Statements, 8-Ks, and registration statements.
• Support board and committee meetings, annual stockholder meetings, resolutions, consents, certificates, and minutes.
• Advise on corporate governance, securities compliance, capital markets transactions, debt covenants, and disclosure obligations.
• Coordinate sustainability reporting and evolving sustainability law and disclosure requirements.
• Manage legal entity integration, reorganizations, mergers, consolidations, joint venture governance, and entity maintenance.
• Coordinate outside counsel and improve departmental procedures for securities, governance, and legal entity management.

Requirements

• Juris Doctorate degree from a nationally recognized law school.
• Admission to the Bar of at least one state.
• 3–5 years of experience with U.S. public company reporting, securities law compliance, corporate governance, and capital markets transactions.
• Strong organizational, project management, communication, presentation, and influencing skills.
• Ability to work independently, manage multiple priorities, and build effective cross-functional relationships across global geographies.
• Proficiency with Microsoft Office Suite, including Excel, Word, PowerPoint, Microsoft 365, and Copilot.
