What you will do

• Draft, negotiate, and amend SaaS subscription and data licensing agreements, including SLAs and user rights.
• Manage corporate governance, including the drafting of board and shareholder resolutions and shareholder agreements.
• Coordinate the filing of annual financial returns, corporation tax, VAT, and R&D tax credit applications.
• Lead project management for the incorporation and legal structuring of international affiliates and subsidiaries.
• Draft intercompany agreements and manage legal compliance for entities in jurisdictions like Ireland and Delaware.
• Support fundraising activities such as Series A raises, Venture Debt, and Convertible Notes.

Requirements

• 5-7 years of experience in a similar corporate legal role.
• Legal education (LLB, GLD, or JD) and a Bachelor's degree in Law, Finance, or related field.
• Must be based in or be able to work from the DC or NY metro area.
• Deep familiarity with the complexities of SaaS agreements and data protection laws.
• Knowledge of global privacy regulations, including GDPR, CCPA, CPA, and CTDPA.
• Proven track record of adhering to governmental filing cadences and corporate formalities.
