What you will do

• Collaborate with the Procurement team to review, draft, and negotiate NDAs, vendor agreements, SOWs, and software licenses.
• Develop and maintain contract templates, playbooks, and fallback positions for various commercial agreements.
• Implement and manage legal technology tools, including CLM and AI-driven contract review software.
• Maintain internal compliance trackers for non-compete and non-solicitation agreements.
• Provide ad hoc corporate support, including assisting with M&A activities and virtual data room management.

Requirements

• Juris Doctor degree from an accredited law school.
• Active license to practice law in Pennsylvania.
• 3-6 years of law firm or in-house experience negotiating commercial contracts.
• Strong understanding of commercial clauses, including indemnification, IP ownership, and liability limitations.
• Ability to work in a hybrid environment with at least 3 days per week in the Pittsburgh office.

• Experience with privacy frameworks such as GDPR and CCPA.
• Background in navigating multinational supplier dynamics.
• Proven ability to work independently in a fast-paced, high-pressure environment.
