What you will do

• Lead M&A transactions, strategic investments, and equity financings as primary deal counsel.
• Design and implement AI-assisted due diligence workflows to compress deal cycle times.
• Build corporate governance infrastructure, including board processes and multi-entity compliance frameworks.
• Advise the CEO and VP of Finance on corporate law matters to enable faster strategic decision-making.
• Reduce outside counsel dependency by building reusable templates, playbooks, and self-service tools.
• Manage multi-entity global compliance and surface potential issues proactively.

Requirements

• 10+ years of corporate legal experience with lead-counsel ownership of M&A or equity financings.
• Active US bar admission and JD from an ABA-accredited law school.
• In-house experience at a high-growth technology company is required.
• Proven AI fluency with experience designing AI-assisted legal processes.
• Ability to run transactions independently with minimal supervision.
• Strong drafting and negotiation skills across complex investment and governance documents.
