Location: Must be based in San Francisco, CA, USA (Hybrid role).

Salary: $190,000 - $290,000

What you will do

• Manage corporate securities matters, including secondary sales and tender offers.
• Support mergers, acquisitions, and global expansion efforts.
• Oversee corporate governance, board communications, and stockholder actions.
• Administer employee equity and executive compensation programs.
• Create and improve legal templates, agreements, and transactional processes.
• Manage external counsel and maintain corporate insurance programs.

Requirements

• Juris Doctor (JD) from an accredited law school and active U.S. state bar membership.
• 4+ years of corporate legal experience, ideally at a law firm specializing in high-growth technology companies.
• Deep understanding of cap table mechanics, venture financings, and corporate transactions.
• Ability to work with international headquarters in Sydney, AU, including flexible hours for stakeholder overlap.
• Proficiency in G Suite, Slack, and subsidiary management databases.
• Strong commercial and pragmatic approach to balancing legal and business risks.

• Familiarity with AI tools like Claude, ChatGPT, or Glean for process automation.
