Senior Manager, Legal & Company Secretary

Location: Shah Alam, Malaysia

What you will do

• Advise the Board, CEO, management, and business units on corporate, commercial, employment, regulatory, and contractual matters.
• Draft, review, and negotiate commercial, vendor, customer, partnership, financing, and other agreements.
• Manage disputes, litigation, external counsel, legal risk frameworks, and regulatory compliance.
• Act as Company Secretary to the Board and its committees, managing agendas, papers, resolutions, minutes, statutory registers, and filings.
• Advise the Board on corporate governance, directors’ duties, disclosure obligations, board effectiveness, induction, and training.
• Lead and develop the legal and company secretarial team while collaborating with Finance, HR, Compliance, Risk, and Operations.

Requirements

• Experience covering corporate, commercial, employment, regulatory, contractual, governance, and compliance matters.
• Experience managing Board, Committee, and shareholders’ meetings and maintaining statutory corporate records.
• Knowledge of the Companies Act and, where applicable, Bursa Malaysia and Securities Commission Malaysia regulations.
• Experience managing disputes, litigation, external counsel, regulators, auditors, and external advisers.
• Leadership experience with legal and company secretarial teams and service providers.
