What you will do
- Maintain and prioritize the corporate development pipeline, building target landscapes, market maps, and investment theses (including AI-native businesses).
- Lead valuation and returns analysis using discounted cash flow, comparable company, precedent transaction, and accretion/dilution methods; pressure-test projections, synergies, and deal structure.
- Run cross-functional due diligence across finance, legal, tax, product, engineering, and people; manage data rooms and diligence request lists.
- Draft transaction materials (process letters, letters of intent, term sheets, management presentations) and coordinate with outside counsel through definitive agreements.
- Support integration planning for acquisitions and separation planning for divestitures/carve-outs, including TSA and operating model design.
- Prepare investment memos, executive committee materials, and board-ready decks; use AI tools to accelerate research, diligence, modeling, and drafting.
Requirements
- 5+ years in corporate development, investment banking, private equity, or growth equity.
- Proven ownership of financial models and valuation across multiple completed transactions, with command of the M&A process from sourcing through close.
- Board-ready written communication produced independently; ability to manage multiple concurrent workstreams with senior stakeholders.
- Fluency with modern AI tools used in practice for synthesizing diligence, drafting first-pass memos/analyses, and building internal trackers/workflows.
- Bachelor’s degree in finance, economics, business, or a related field.
Nice to have
- Experience in media, advertising technology, consumer internet, or subscription/SaaS businesses.
- Buy-side and sell-side transaction experience, including divestitures and carve-outs.
- Familiarity with private-equity-backed or sponsor-owned operating environments and their reporting expectations.
- MBA or CFA, or other advanced degree/credential.
- Demonstrated commitment to continuous learning and ongoing development of AI knowledge and skills.
