What you will do

• Assist with the preparation and review of SEC filings, including periodic reports and proxy statements.
• Advise on executive compensation, equity plan administration, and securities law compliance.
• Support corporate governance initiatives, including Board and Committee material preparation.
• Provide legal support for strategic transactions, including M&A and entity structuring.
• Oversee Section 16 reporting and related compliance programs.
• Manage outside counsel and collaborate with internal teams like Finance, Tax, and People.

Requirements

• Must be an attorney admitted to the bar in at least one U.S. state and eligible for registered in-house counsel status in California.
• Minimum 5 years of legal experience in corporate and securities law or compensation and benefits.
• Advanced knowledge of SEC reporting requirements and stock exchange listing rules.
• Proven ability to lead and provide direction in ambiguous situations.
• Strong interpersonal skills and business judgment.
• No immigration sponsorship available for this position.
