What you will do

• Advise executive leadership on corporate governance, fundraising, and complex cross-border legal issues.
• Draft and negotiate high-value contracts, including strategic alliances, joint ventures, and customer service agreements.
• Manage investor relations, SEC compliance, and legal oversight for capital raises (pre-Seed through Series C).
• Handle employment law matters, including executive compensation, incentive plans, and compliance with labor laws.
• Collaborate with Finance, Sales, and Operations teams to structure deals and mitigate legal and financial risks.

Requirements

• Juris Doctor (JD) or foreign equivalent.
• Must be admitted to practice law in any U.S. state.
• Minimum 2 years of experience as a corporate attorney, associate in corporate law, or in-house counsel.
• Experience counseling venture capital funds and venture-backed startups in Industrial Tech, AI, or FinTech.
• Expertise in drafting NVCA governance documents and managing legal due diligence for mergers, divestitures, and capital raising.

Nice to have

• Experience advising on international transactions and liaising with foreign local counsel in Cayman Islands, Brazil, Mexico, and Canada.
