What you will do

• Review and manage transaction documents for tax equity, back leverage, and project finance deals.
• Draft and maintain corporate governance documents, including board resolutions and fund-level approvals.
• Oversee company registrations, entity maintenance, and annual reporting for investment vehicles.
• Support investor and lender relationships through diligence, reporting, and transaction deliverables.
• Implement process improvements to reduce friction and scale legal operations for repeat transactions.
• Utilize AI-enabled tools to streamline contract review and drafting workflows.

Requirements

• JD from an accredited law school and active license to practice in a US jurisdiction (NY or NC preferred).
• Minimum 3 years of law firm transactional experience.
• Background in corporate, finance, project finance, renewable energy, or tax equity transactions.
• Strong drafting, communication, and critical thinking skills.
• High business acumen and commercial judgment.
• Proficiency in Microsoft Office, DealVDR, and Google Apps.
