Senior Counsel – Project Finance & Commercial (Renewable Energy)

Location: Remote across all U.S. locations; headquarters are in Westlake Village, California and Lugano, Switzerland. Willingness to travel domestically and/or internationally up to 10% is required.

Salary: $146,000–$234,000 per year; total compensation range for this position across all U.S. locations.

What you will do

• Lead end-to-end legal structuring and negotiation of project finance transactions, including construction loans, term debt, tax equity, back-leverage facilities, and permanent financing.
• Draft and negotiate credit agreements, security packages, depositary and accounts agreements, consent and assignment agreements, and related financing documents.
• Advise on build-own-operate asset structures, collateral, security interests, intercreditor arrangements, and lender due diligence through financial close.
• Advise on IRA tax credit structures, including ITC, PTC, domestic content, energy communities, and FEOC compliance.
• Support refinancings, amendments, waivers, lender compliance, corporate debt facilities, revolving credit lines, entity structuring, capitalization, and governance matters.
• Review EPC contracts, equipment procurement agreements, PPAs, and interconnection agreements for bankability and lender consent purposes.

Requirements

• J.D. from an accredited law school and membership in good standing of a state bar.
• At least 5 years of project finance experience with significant exposure to energy, battery storage, infrastructure, or data center financings.
• Demonstrated experience closing complex project finance transactions from term sheet through financial close, including ITC and/or PTC tax equity structures.
• Working knowledge of IRA incentive structures, domestic content requirements, FEOC compliance, project financing, and tax credit eligibility.
• Experience with construction financing and term conversion is highly valued.
• Ability to manage multiple active deals, competing priorities, and tight deadlines with composure and sound commercial judgment.
• Commercial mindset with strong practical risk-allocation judgment.
• Excellent drafting, negotiation, advising, and presentation skills with senior leadership and external counterparties.
• Ability to work effectively in fast-paced, rapid-growth environments; successful completion of a pre-employment background check is required.

• Corporate finance or capital markets experience.
• Familiarity with EPC contracts, equipment procurement agreements, PPAs, and interconnection agreements.
