Salary: $225,000 - $250,000

What you will do

• Lead legal support for public company reporting, including 10-K, 10-Q, 8-K, and proxy statements.
• Advise on corporate governance, Board and committee practices, and fiduciary duties.
• Manage the internal legal process for M&A, strategic investments, financings, and joint ventures.
• Partner with Finance, Investor Relations, and executive leadership on disclosure matters and compliance.
• Oversee corporate entity management and subsidiary governance.
• Develop and implement scalable legal processes, playbooks, and review protocols.

Requirements

• J.D. from an accredited U.S. law school and active U.S. state bar membership required.
• 10+ years of relevant legal experience, including significant corporate governance and securities law expertise.
• At least 4 years of in-house legal experience at a public company.
• Strong working knowledge of SEC reporting, Nasdaq rules, and disclosure controls.
• Demonstrated experience advising senior executives and Board committees.
• Experience managing complex corporate transactions and capital markets events.

Nice to have

• Experience in technology, semiconductor, or AI infrastructure industries.
• Experience with cross-border transactions or multi-jurisdictional governance.
• Experience navigating major corporate events like spin-offs or contested governance situations.
