TL;DR

VP, Legal (SaaS): Building and scaling the legal infrastructure for a PE-backed hospitality revenue management platform with an accent on AI governance, commercial contracting, and exit readiness. Focus on architecting scalable legal operating systems, managing ML-related regulatory frameworks, and serving as a strategic partner to the Board and CFO.

What you will do

• Own the legal AI stack, implementing tooling for contract review, CLM, and regulatory monitoring to maintain a lean legal function.
• Partner with Product and Engineering on ML pricing models, developing the legal and ethical framework for data usage and algorithmic decision-making.
• Architect scalable commercial contracting processes and playbooks to empower Sales and accelerate global growth.
• Drive exit-readiness by holding legal work to diligence-ready standards and integrating with Corp Dev, FP&A, and Accounting.
• Serve as Secretary to the Board of Directors, managing corporate governance and corporate hygiene.
• Manage global employment law, equity agreements, and international workforce compliance across all operating jurisdictions.

Requirements

• J.D. from an ABA-accredited law school and active bar membership in good standing.
• 15+ years of professional legal experience, with substantial tenure in high-growth technology companies.
• Deep expertise in SaaS commercial contracts, including subscription agreements and data processing addenda.
• Fluency in AI/ML legal issues, including GDPR, CCPA, and automated decision-making regulations.
• Experience in corporate governance, specifically serving as a Board Secretary or equivalent.
• Must be based in the United States.

• M&A experience within a Private Equity (PE) context.
• Competency in employment law across multiple international jurisdictions.
• Experience supporting a company through a full PE-to-exit cycle.
