What you will do

• Provide legal counsel on corporate governance, board practices, and corporate policies.
• Manage global legal entity structure and corporate housekeeping, including formations and reorganizations.
• Lead legal workstreams for M&A and strategic transactions, including due diligence and negotiation of definitive documents.
• Support equity plans, credit agreements, and financing arrangements (debt/equity).
• Handle public company legal support, including drafting and reviewing SEC filings (10-K, 10-Q, 8-K).
• Manage relationships with outside counsel and deliver legal trainings for employees and executives.

Requirements

• Juris Doctor (JD) from an accredited U.S. law school and active license to practice law in at least one U.S. jurisdiction.
• Must be based in the United States.
• 8-12 years of experience as an attorney with a mix of law firm and in-house experience.
• Significant experience in corporate governance, M&A, and complex corporate transactions.
• Public company experience with hands-on involvement in SEC reporting and disclosure.
• Strong negotiation and conflict resolution skills with high commercial acumen.
