What you will do

• Provide legal guidance on financing, M&A, joint ventures, and strategic investments.
• Oversee corporate secretarial functions, including board and shareholder meeting preparations.
• Manage the compliance and lifecycle of domestic and foreign entities.
• Develop equity plans and executive compensation programs in line with securities regulations.
• Ensure compliance with SEC requirements, including Insider Trading policies and Section 16 filings.
• Partner with internal departments on risk management, insurance, and compliance programs.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Must be admitted to a US state bar in good standing.
• Minimum of 7 years of legal experience, with 3+ years in the healthcare industry preferred.
• Proven experience with private and public company financing, corporate governance, and M&A.
• Strong understanding of SOX, Dodd-Frank, and Nasdaq listing standards.
• Ability to work independently and manage multiple projects in a fast-paced environment.
