Director, Corporate, M&A and Securities (Legal): Leading the full spectrum of M&A, strategic transactions, and public securities compliance with an accent on corporate governance and equity compensation. Location: Must be admitted to practice in at least one U.S. jurisdiction; based in Santa Clara, CA, or remote within the US.
Salary: $220,000 – $300,000 plus bonus

What you will do
- Lead M&A and strategic transactions including mergers, acquisitions, divestitures, and joint ventures from origination through post-closing integration.
- Own the end-to-end deal lifecycle, including due diligence, risk assessment, negotiation, and final decision-making on deal structures.
- Advise on corporate governance, including board and committee materials, governance policies, and subsidiary management.
- Oversee public-company securities law matters, SEC reporting, disclosure controls, and public-company readiness infrastructure.
- Manage equity compensation and equity plan administration, including award documentation and employee communications.
- Partner cross-functionally with Finance, Tax, HR, and Corporate Development to ensure seamless deal execution and risk mitigation.
Requirements
- Minimum 12 years of experience as a corporate, public securities, and M&A lawyer.
- At least 7 years of significant hands-on experience in public securities and M&A transactions, preferably in the tech sector.
- JD degree or equivalent; admitted to practice in at least one U.S. jurisdiction.
- Deep expertise in cross-border transactions, joint ventures, and post-merger integration.
- Strong background in SEC reporting, disclosure controls, board governance, and proxy statements.
- Proven ability to influence C-suite and Board-level stakeholders on matters of strategic significance.
