Legal Counsel - Corporate (Fintech)

Location: Montevideo, Uruguay; hybrid workplace

hirify.global is a fintech payments processor and merchant of record that enables global companies to collect payments across 40 emerging markets.

What you will do

• Draft, review, and negotiate intercompany, service, cost-sharing, loan, guarantee, novation, and corporate support agreements.
• Support M&A transactions, corporate restructurings, capital markets activities, due diligence, and coordination with external advisers.
• Advise on banking, financing, treasury, credit facilities, derivatives documentation, and KYC/legal onboarding materials.
• Manage corporate governance and secretarial matters, including entity formations and dissolutions, corporate records, and board and shareholder resolutions.
• Partner with global legal, commercial, operations, and functional teams on strategic projects, regulatory issues, product development, and business development.
• Create templates, policies, and procedures and track corporate actions, regulatory filings, and internal approvals.

Requirements

• Qualified lawyer with a law degree.
• At least 5 years of post-qualification experience, preferably in a major law firm or in-house financial services or M&A environment.
• Solid experience in commercial, contractual, and corporate law.
• Fluent English with excellent written and verbal communication skills.
• Business-oriented, analytical, detail-focused, proactive, and able to develop pragmatic solutions to novel legal issues.
• Comfort working with international colleagues across South America, Europe, the United States, Africa, and Asia, including accommodating time-zone differences.

Nice to have

• Knowledge of payments, financial services, or fintech.
• Experience with digital tools, legal technology solutions, and cross-functional projects.
• Proficiency in Spanish.
