Legal Counsel - Corporate (Fintech)

Location: Montevideo, Uruguay; hybrid workplace.

What you will do

• Draft, review, and negotiate intercompany, service, cost-sharing, loan, guarantee, novation, and corporate support agreements for subsidiaries worldwide.
• Support M&A transactions, corporate restructurings, and capital markets activities through due diligence, document preparation, and coordination with advisors and stakeholders.
• Assist with banking, financing, treasury, credit facilities, derivatives documentation including ISDAs, and KYC or legal onboarding materials.
• Manage corporate governance and secretarial matters, including entity formations and dissolutions, corporate records, board and shareholder resolutions, and local compliance.
• Partner with global legal, commercial, operations, and functional teams on strategic projects, regulatory issues, product development, business development, and legal operations.
• Create templates, policies, and procedures, and prepare, file, and track documentation for corporate actions, regulatory filings, and internal approvals.

Requirements

• Qualified lawyer with a law degree.
• At least 5 years of post-qualification experience, ideally at a major law firm and/or in-house in financial services or M&A.
• General legal background with solid experience in commercial, contractual, and corporate law.
• Fluent English with excellent written and verbal communication skills.
• Strong business-oriented mindset and ability to collaborate with commercial and operations teams.
• Ability to identify business and legal issues proactively, apply law to novel situations, and develop pragmatic and creative solutions.
• Strong analytical, interpersonal, communication, problem-solving, and attention-to-detail skills; ability to work under pressure and remain calm in challenging circumstances.
• Ability to contribute effectively to international and cross-functional teams, work independently, and remain self-motivated.
• Comfort working with digital tools, platforms, and legal technology solutions, including flexibility to collaborate across South America, Europe, the United States, Africa, and Asia.

Nice to have

• Knowledge and understanding of payments, financial services, or fintech.
• Proficiency in Spanish.
