What you will do

• Draft, review, and negotiate complex commercial agreements including MSAs, SaaS subscriptions, and SOWs.
• Partner with GTM teams (Sales, Marketing, Commercial) to facilitate business initiatives while protecting legal and financial interests.
• Provide legal guidance on transportation management services and supply chain agreements.
• Manage contract strategy for high-value, multi-year client engagements.
• Collaborate with security teams on data privacy, cybersecurity, and cross-border data transfer compliance.
• Supervise a small team of attorneys within the legal department.

Requirements

• J.D. from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 7-10 years of relevant legal experience in commercial contracting (firm or in-house).
• Proven experience drafting MSAs, SaaS agreements, and SOWs.
• Direct experience supporting SaaS, tech, or software-enabled services.
• Deep understanding of subscription models, data protection terms, and limitation of liability frameworks.
