Corporate Counsel (Software)

Location: Must be based in the United States or Canada

Compensation: $160,000–$185,000 USD (US) or $130,000–$180,000 CAD (Canada)

What you will do

• Draft, review, and negotiate commercial agreements including software licenses, SaaS, and channel partner contracts.
• Support sales and commercial teams in negotiating customer and partner transactions.
• Advise business stakeholders on contract structure, risk allocation, and negotiation strategy.
• Manage multiple concurrent negotiations in a high-volume commercial environment.
• Collaborate with finance, operations, and product teams to resolve commercial issues.
• Assist with commercial disputes and escalations in coordination with external counsel.

Requirements

• 7+ years of relevant legal experience.
• Active membership in a relevant Bar association.
• Experience negotiating enterprise software agreements, including SaaS and on-premise licensing.
• Proven ability to support sales teams in a fast-paced commercial environment.
• Strong contract drafting and negotiation skills with a focus on practical solutions.
• Ability to work independently and manage multiple matters simultaneously.

Nice to have

• Prior in-house experience.
• Law-firm experience representing software or technology companies.
• Experience negotiating reseller, VAR, or OEM agreements.
