What you will do

• Lead M&A execution from term sheet through closing, including due diligence, negotiation, and post-close integration.
• Manage joint venture projects end-to-end, ensuring alignment across commercial, financial, and legal workstreams.
• Advise on equity issuances, secondary transactions, and employee equity matters in partnership with People and Finance teams.
• Contribute to Board and Committee materials, including resolutions, minutes, and governance updates.
• Build and systematize the corporate legal function through processes, templates, and playbooks.
• Manage external law firms, including matter scoping, budget tracking, and invoice review.

Requirements

• 7+ years of corporate legal experience in a top-tier law firm or in-house environment.
• Qualified solicitor in England & Wales in good standing.
• Proven track record in M&A and corporate transactional work.
• Experience partnering with senior stakeholders including Finance, Tax, and executive leadership.
• Strong grounding in corporate governance and board documentation.
• Ability to lead multi-stream transactions as a project leader.

Nice to have

• Familiarity with employee equity at venture or pre-IPO stage.
• Experience scaling legal processes and playbooks in a growing business.
