Location: Must be based in or able to commute to Dallas, Texas or Hoboken, New Jersey, with a hybrid requirement of two days per week in-office.

What you will do

• Draft, review, and negotiate enterprise SaaS MSAs, channel/reseller agreements, and complex licensing contracts.
• Lead multi-threaded negotiations with enterprise customers and strategic partners while balancing risk and business velocity.
• Design and implement AI-enabled workflows to accelerate contract lifecycle management and improve redlining efficiency.
• Advise cross-functional teams including sales, product, and finance on commercial strategy, privacy, and compliance.
• Improve contract templates, negotiation playbooks, and legal operations tooling to ensure consistency and scalability.
• Collaborate with global legal team members to coordinate workload and drive deal velocity.

Requirements

• JD (or equivalent) and active bar admission in at least one U.S. state required.
• 7+ years of experience negotiating complex B2B SaaS/technology transactions at a growth-stage or enterprise software company.
• Expertise in enterprise contracting mechanics including privacy (GDPR, CCPA/CPRA), information security terms, and IP.
• Proven ability to drive high-volume deal flow with sharp risk judgment and crisp communication.
• Practical experience with AI-enabled contracting workflows or legal ops automation.
• Must be able to work in a hybrid model in Dallas, TX or Hoboken, NJ.

• Background in cybersecurity, identity, or infrastructure software.
• Experience with public-sector terms or specialized regulatory frameworks.
• Familiarity with EU and global regulatory trends.
• Experience with CLM tooling, data models, and reporting.
