TL;DR

Focus on driving alignment across internal stakeholders, overseeing equity plan maintenance, and providing actionable legal advice on complex corporate governance matters.

Location: Must be based in the USA

Salary: $160,000 - $230,000 per year

What you will do

  • Lead compensation and equity-related workstreams for M&A transactions, including due diligence and post-closing arrangements.
  • Advise on compensation-related disclosures, proxy statement filings, and annual stockholder meetings.
  • Manage equity plans, including plan maintenance, international expansion, and performance award agreements.
  • Prepare and file registration statements on Form S-8 and support other corporate filings.
  • Oversee insider trading compliance and Rule 10b5-1 trading plan administration.
  • Serve as the primary legal point of contact for the stock administration function.

Requirements

  • J.D. and bar admission required
  • 7-10 years of relevant experience at a top-tier law firm or in-house at a public company
  • Deep technical expertise in executive compensation and global equity programs
  • Meaningful experience with complex cross-border M&A transactions
  • Must be based in the USA
  • Ability to work varying hours to accommodate a global workforce

Nice to have

  • Familiarity with Hart-Scott-Rodino (HSR) Act filings
