What you will do

• Lead negotiation of partnership agreements, data licensing agreements, and API access agreements with enterprise technology partners.
• Draft, review, and redline complex commercial contracts from term sheet through execution.
• Partner with business development, product, and sales teams to structure legally sound and commercially viable deals.
• Develop and maintain scalable contract templates, playbooks, and standard positions for commercial transactions.
• Advise on data use, IP ownership, exclusivity, and liability frameworks in the context of data-sharing partnerships.
• Identify legal risks in deal structures and recommend practical mitigations.

Requirements

• J.D. from an accredited law school and admission to at least one U.S. state bar.
• 6–8 years of legal experience with significant exposure to commercial contract negotiation.
• Demonstrated expertise in drafting partnership and licensing agreements.
• Strong business judgment regarding deal economics.
• Comfort with AI tooling and its integration into professional workflows.
• Ability to manage a high volume of matters independently.

Nice to have

• Prior in-house experience at a technology company in a BD or commercial legal function.
• Experience working directly with business development teams to source and close deals.
• Exposure to data licensing, product integrations, or regulated technology products.
• Familiarity with global data privacy frameworks such as GDPR and CCPA.
