What you will do

• Architect and execute legal strategies for capital markets transactions, including equity offerings, debt issuances, and IPO readiness.
• Own the preparation and filing of all SEC regulatory submissions (Form S-1, 10-K, 10-Q, 8-K).
• Direct corporate governance frameworks, establish boardroom policies, and advise on shareholder relations.
• Provide strategic legal counsel to the CLO, CEO, and CFO on the risks and mechanics of financial initiatives.
• Manage top-tier external law firms and underwriters' counsel to ensure cost-effective execution.
• Implement institutional controls for insider trading and public market disclosures.

Requirements

• Active license to practice law in the United States and a Juris Doctor (J.D.) degree.
• 12+ years of experience in corporate finance and securities law (combination of top-tier law firm and in-house public company experience).
• Proven track record of executing an IPO process or sophisticated debt/equity issuances.
• Expert knowledge of SEC rules, U.S. GAAP reporting interactions, and corporate disclosure requirements.
• Ability to distill complex regulatory regimes into strategic business advice for C-level executives.
• Experience leveraging AI tools to scale legal functions.
