Salary: $185,000 – $300,000

What you will do

• Manage legal workstreams for credit facilities, term loans, and project financings for GPU fleets and data center buildouts.
• Draft and negotiate term sheets, credit agreements, guarantees, and security agreements.
• Collaborate with Corporate Development, Capital Markets, and Treasury to drive financing closings.
• Build and maintain lender compliance calendars and reporting packages.
• Create playbooks and templates to streamline financing processes and covenant monitoring.

Requirements

• JD from an accredited law school and admission to practice in at least one U.S. jurisdiction (NY or CA preferred).
• 4+ years of law firm experience focusing on complex debt finance and secured transactions.
• Experience coordinating multi-stakeholder closings and managing diligence processes.
• Exceptional drafting and negotiation skills with a balance of legal risk and commercial objectives.
• Physical presence in San Francisco or New York City offices 4 days per week is required.

Nice to have

• Direct experience with GPU or AI compute financing transactions.
• Exposure to project finance, asset-based lending, or digital infrastructure.
• Experience advising late-stage private or pre-IPO companies.
