TL;DR

Corporate Counsel (Legal): Advising on employee compensation, benefits, and corporate governance for a global diagnostics company with an accent on ERISA compliance and SEC disclosures. Location: Must be based in the US (Remote, San Diego, or South San Francisco)

Salary: $200,000 — $250,000 (depending on location)

What you will do

  • Advise on the design, implementation, and governance of employee compensation, health and welfare, and retirement benefit plans.
  • Provide legal support for executive and director compensation programs, including severance and employment arrangements.
  • Ensure compliance with ERISA, Internal Revenue Code, ACA, HIPAA, and COBRA.
  • Manage compensation-related disclosures, including the Annual Proxy Statement and shareholder meetings.
  • Support Section 16 compliance, insider trading policies, and Rule 10b5-1 trading plans.
  • Partner with Finance and HR on global equity incentive plans and M&A activities.

Requirements

  • Juris Doctor degree and in good standing to practice law in the applicable state.
  • Minimum 8 years of relevant experience, including work with a top-tier law firm advising public companies.
  • Expertise in corporate, securities, and executive compensation matters.
  • Must be based in the United States.
  • Ability to work effectively in a remote environment across multiple time zones.
