What you will do

• Advise the CEO and Board on legal, ethical, and business implications of company strategy.
• Lead corporate governance and manage the international expansion strategy.
• Draft and negotiate complex commercial agreements, including SaaS licenses and strategic alliances.
• Oversee the full lifecycle of U.S. Government contracts, ensuring FAR/DFARS compliance.
• Act as the primary authority on Export Controls (ITAR/EAR) and AI regulations.
• Lead legal due diligence for venture financing, debt financing, and M&A.

Requirements

• 10+ years of legal practice, specifically in-house at high-growth technology or defense companies.
• J.D. from an accredited law school and active bar membership in good standing.
• Deep familiarity with government contracting and "Color of Money" (R&D vs. Procurement).
• Ability to discuss AI/ML concepts and technical architecture with engineering teams.
• Must be based in or able to work hybrid in Arlington, VA.
