TL;DR

Fund Attorney - Assistant Vice President (Fintech): Managing legal aspects of U.S. and Cayman private funds with an accent on compliance, regulatory issues, and fund structuring. Location: Hybrid in New York, NY (Office Monday-Thursday, remote Friday)

Salary: $160,000 – $210,000

What you will do

  • Negotiate agreements with counterparties, including fund managers and distribution agents.
  • Draft and review private fund offering materials, partnership agreements, and other fund legal documentation.
  • Advise on legal implications for the offering of new and existing products and services.
  • Coordinate with outside legal counsel on regulatory, corporate, and fund investment issues.
  • Draft and review various contracts, non-disclosure agreements, and general legal documentation.
  • Assist with regulatory filings and conduct necessary research projects.

Requirements

  • 3+ years of fund formation experience within the Investment Management space.
  • Strong knowledge of the Investment Company Act of 1940, Securities Act of 1933, and FINRA regulations.
  • Member in good standing of the Utah Bar or another state/jurisdiction.
  • Law firm or in-house experience at an asset management firm is a plus.
  • Strong interpersonal and leadership skills.
  • Organized and detail-oriented with big-picture strategic capability.
