Commercial Counsel (Web3)

TL;DR

Commercial Counsel (Web3/Fintech): Managing the full lifecycle of commercial agreements and API integration contracts with an accent on risk allocation and commercial structuring. Focus on negotiating complex partner relationships and scaling legal intake workflows for a DeFi infrastructure product.

Location: Fully Remote (preference for candidates based in the US (East Coast), UK, or EU)

Salary: €100K – €160K + Equity

What you will do

• Draft and negotiate the full range of commercial agreements, including API integration, MSAs, partnership agreements, and term sheets.
• Manage the contract lifecycle from intake through execution, amendment, and renewal.
• Act as the primary legal interface for integration partners and enterprise customers during negotiations.
• Develop and maintain standard commercial templates, playbooks, and scalable intake workflows.
• Assess and allocate risk regarding liability caps, indemnification, and governing law.
• Support regulatory-adjacent work and coordinate with external counsel on jurisdiction-specific requirements.

Requirements

• Qualified lawyer admitted to a recognised bar (preferably US, UK, or an EU member state).
• 3+ years PQE with at least 2 years of in-house experience handling commercial contracts.
• Prior in-house experience in a regulated technology, fintech, or financial services environment.
• Demonstrable experience negotiating enterprise SaaS, API, or platform integration agreements.
• Ability to operate autonomously in a remote, async-first team.

Nice to have

• BigLaw training in technology transactions, outsourcing, or financial services.
• Interest in DeFi protocols, cross-chain infrastructure, or blockchain-based financial products.
• Familiarity with compliance requirements of regulated financial institutions.
• Experience building contract management processes and legal ops tooling.
